Landowner Subscription & Land Access Framework Agreement
This agreement governs every TrailA.io landowner Subscription, Team, Business, or Enterprise. Subscribing (Team/Business, self-serve) or being activated (Enterprise, after a scope review and proposal) means you have accepted these terms as they stood on the version above.
1. What a Subscription is
Your Subscription is a framework, not a licence. It gives you the tooling to administer capture rights on your land: creating and managing Land Access Agreements, approving and removing Creators, and viewing licensing and revenue activity. It does not itself grant, sell, or transfer any rights in any Asset. Rights in each Asset are dealt with only through the Licence issued to a Buyer, under the terms of the applicable Land Access Agreement.
2. Fees and payment
Team is R55 000/month and Business is R85 000/month, both excl. VAT (currently 15%, South Africa), billed via a recurring Stitch bank-debit mandate you authorise at checkout. Enterprise has no fixed price: it is scoped to your portfolio and a fixed multi-year term, set out in your own Enterprise agreement and Schedule, invoiced on the schedule it states. Neither path ever collects card or bank details directly on TrailA.io.
3. Land Access Agreements and revenue share
Each Land Access Agreement you create sets which Creators are authorised on specified land, and the Revenue Share Percentage you receive on Licences issued from Assets captured under it. On Team, every agreement carries your land's own default revenue share; on Business and Enterprise, you may set a custom share per agreement. The platform's fee is fixed at 15% of every Licence's price, identical across every transaction regardless of tier. The split applicable to a given Licence is frozen at the moment it is issued; a later change to an agreement's share applies only prospectively.
4. Capacity and seats
Your tier sets a monthly licence capacity (Team ~40, Business ~120, Enterprise custom) and a seat count for teammates with administrative access (Team up to 10, Business up to 30, Enterprise custom). Checkout is refused once your land's monthly capacity is reached until the next month or an upgrade; seats beyond your tier's limit may be declined.
5. Intellectual property
Copyright in each Asset is retained by the Creator who captured it, subject to the rights granted under the applicable Land Access Agreement and to Buyers under issued Licences. Neither your Subscription nor this agreement transfers copyright to you or to TrailA.io. Your role is to authorise access to your land and set the terms on which that access is given, not to grant or assign any copyright interest in the resulting Assets.
6. Term and termination
Team and Business run on a rolling monthly term; either side may cancel with 30 days' written notice. Enterprise runs for the fixed term set out in your Enterprise agreement, renewing automatically unless either side gives notice per that agreement's own terms. Ending a Subscription, however it arises, never affects a Licence already issued, a Buyer's rights under it, or your entitlement to revenue already accrued.
7. Data protection and governing law
Personal information is processed in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and any other applicable law. This agreement is governed by the law of the Republic of South Africa.
